§ 1 Scope
These General Terms and Conditions (GTC) apply to the use of the website www.virtualcampaign.de and to all services provided by HERZBERGMEDIA, owner Jens Harald Herzberg (the "Provider"), to customers (the "Customer"). Any deviating terms of the Customer are rejected unless expressly agreed otherwise in writing. The offering is aimed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB).
§ 2 Subject matter
The Provider offers a platform for the automated creation of individualised advertising videos and related tools (including a video generator, creative simulator and render services). The specific scope, features and service levels result from the respective service description or individual contract. This website serves for information and contact purposes and does not constitute a binding offer to conclude a contract.
§ 3 Conclusion of contract
A contract for the use of the services is only concluded by means of a separate agreement or by the activation of access. Enquiries via the contact form are non-binding.
§ 4 Customer obligations / content
The Customer ensures that it holds the necessary rights to all content it uploads or uses (images, videos, audio, text, trademarks) and that such use does not infringe the rights of third parties or statutory provisions. The Customer indemnifies the Provider against third-party claims arising from unlawful use of the services by the Customer.
§ 5 Prices and payment
The prices stated in the respective service description or individual offer apply, plus statutory VAT. [Please add payment terms, billing periods and due dates.]
§ 6 Availability
The Provider endeavours to keep the platform available as uninterruptedly as possible. There is no claim to uninterrupted availability; in particular, maintenance work, force majeure or disruptions beyond the Provider's control may lead to temporary restrictions.
§ 7 Liability
The Provider is liable without limitation for intent and gross negligence, under the German Product Liability Act, and for injury to life, body or health. In the event of slightly negligent breach of material contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical of the contract. Liability is otherwise excluded.
§ 8 Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is, to the extent permissible, the Provider's registered office. Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected.
